JECAS STORES — GLOBAL COMMISSION SELLER AGREEMENT
By joining the JECAS Stores Commission Seller Program, the Seller agrees to the following:
1. Independent Seller: The Seller is an independent commission-based promoter, not a JECAS employee, partner, franchisee or agent. The Seller is responsible for their own marketing costs, taxes and legal obligations.
2. Commission: Commission is 3%, as assigned by JECAS. It applies only to qualifying product sales and excludes shipping, taxes, fees, discounts, refunds, cancellations and other non-commissionable amounts.
3. Tracking: JECAS may use referral links, codes, cookies and system records to track sales. JECAS system records will be used as the primary basis for determining attribution and commission.
4. Payment: Commission may be Pending, Approved, Paid, Cancelled or Reversed. Commission becomes payable only after applicable payment, fulfilment/delivery, return-period and verification requirements are satisfied.
5. Refunds & Reversal: Cancelled, refunded, returned, disputed, fraudulent or otherwise ineligible transactions may have commission cancelled or reversed. Paid commissions may be offset or recovered where legally permitted.
6. Seller Conduct: Sellers must market JECAS products truthfully and lawfully, including making any disclosures required by applicable advertising laws when receiving commission. Fraud, referral manipulation, misleading claims, unauthorised representations, misuse of JECAS intellectual property or unlawful use of customer information are prohibited.
7. Account Control: JECAS may suspend or terminate a Seller account for fraud, misconduct, material breach, legal requirements or protection of the Program. Termination does not automatically make unpaid or ineligible commissions payable.
8. Program Changes: JECAS may reasonably update eligible products, commissionable amounts, payout rules, referral methods, campaigns and other Program rules. Commission rates will remain 3%. Approved commissions will not be unfairly removed.
9. Products & Prices: JECAS controls product prices, descriptions, availability and promotions. Sellers must use current JECAS information.
10. Disputes: Commission disputes must include the Seller ID, Order Number, Product, Date and referral details where available. JECAS may review its records and correct verified errors.
11. Liability & Indemnity: To the extent permitted by applicable law, JECAS is not responsible for indirect losses or expenses arising from Seller activities or Program interruptions. Sellers may be responsible for losses caused by their fraud, unlawful conduct, misleading advertising, misuse of JECAS property, unlawful customer-data use or material breach.
12. Acceptance & Law: Electronic acceptance is valid and JECAS may retain the Seller’s acceptance record and Terms version. These Terms are governed by the laws of the Federal Republic of Nigeria, except where applicable law in the Seller’s country cannot legally be excluded or overridden. Disputes should first be resolved amicably before appropriate legal action.
13. Acknowledgement: The Seller confirms that the information provided is accurate, understands the commission structure, accepts that commissions are earned only on qualifying transactions, agrees to comply with applicable laws and understands that participation does not guarantee sales or income.
